R E C I T A L S:

WHEREAS Resident News is in the business of designing, producing and printing newsletters for multifamily communities.

AND WHEREAS Resident News wishes to arrange for monthly newsletters to be delivered to the Community.

AND WHEREAS the Community wishes to engage the services of Resident News to design and publish a monthly newsletter.

NOW, THEREFORE in consideration of the mutual covenants herein expressed, the parties hereto hereby agree as follows:

W I T N E S S E T H:

THE NEWSLETTER: On behalf of the Community, Resident News will design, produce and print a monthly newsletter for the Community. The newsletter must be approved by the Community prior to production. If not approved by the 10th of each month, Resident News shall have the right to customize, print and ship the monthly newsletter to the Location.

PRODUCTION & DISPLAY: On behalf of the Community, Resident News will provide custom-designed newsletters and will work co-operatively with the Community to publish a monthly newsletter for the Community.

TERM AND TERMINATION: This Agreement shall commence on the Effective Date and shall extend for a period of twelve (12) months (the “Initial Period”). This Agreement shall automatically renew for another twelve (12) month period following the Initial Period and for each twelve (12) month period thereafter (each a “Renewal Period”), unless and until the Community furnishes Resident News with written notice of its intention not to renew this Agreement within thirty (30) days of the expiration such Initial Period and each Renewal Period thereafter, whereupon this Agreement shall automatically terminate. This Agreement may further be terminated at the election of the Community in the event a new management company assumes control of the Community or the Community is sold, provided Resident News is furnished with thirty (30) days written notice of the Community’s desire to terminate this Agreement. Resident News may terminate this Agreement in the event the Community fails to pay all amounts due hereunder.

INDEMNIFICATION: The Community hereby agrees to indemnify and hold Resident News and its successors and assigns harmless from any and all claims and/or liabilities related directly or indirectly to the performance of Resident News obligations pursuant to this Agreement.

INDEPENDENT CONTRACTORS: In the performance of their respective obligations hereunder, the parties to this Agreement are bona fide independent contractors of each other. No relationship of partners or employer and employee is created by this Agreement. It being understood that each party will act hereunder only as an independent contractor and at all times control the methods and means by which it provides its services hereunder.

BILLING/INVOICING: All invoices are due on or before the 1st of each month. Late fees apply after the 5th of the month. Our terms are NET 30 days from invoice. Late fees apply after 30 days. Shipping and handling will be included in your invoice. Shipping and handling rates are subject to change at the request of the third party shipper. Invoicing will be sent by EMAIL only unless alternate invoicing is specifically requested in writing by the property. (You are able to print your invoices when you login each month and customize your newsletter)

ADVERTISING: It is understood and agreed that from time to time Resident News may solicit and sell advertising that will appear in your newsletter. Resident News reserves the sole right to approve such advertising and collect any resulting revenues. Resident News will not solicit any business whose interests may conflict with the interests and goals of the Community, nor will any business is solicited which would not be appropriate for all residents.

RIGHT OF PRIOR APPROVAL: Resident News agrees that it will neither solicit nor display Promotions for any business/businesses that might be considered to be competitors, or to otherwise compete with, the goods and/or services of the Community in any manner.

SET UP FEE: There is a once payable set up fee of $125 payable at the commencement of the agreement which will be included in your first month invoice.

SUBSCRIPTION RATES: Newsletter rates of 29 cents are guaranteed for 12 months. Doorknob bags are available at $8.90 per hundred and will be invoiced accordingly along with your newsletter order. Newsletters are shipped by third-party shipper and standard shipping /handling applies. No warranties or guarantees are provided in regards to delivery but all efforts are made to attempt delivery before the first of the month. Deliveries after the first of the month do not void or become cause for non-payment of newsletter in any manner. Always be sure to open your delivery immediately and check your newsletter. You must notify our office within 24 hours of delivery for any errors or omissions or your order is considered valid and accurate.
